1. Agreement to Terms
By accessing and using the services provided by Titania Digital ("we", "our", or "us"), you agree to be bound by these Terms & Conditions. If you disagree with any part of these terms, you may not access our services.
2. Services
We provide digital consultancy services including but not limited to project management, technical advisory, and implementation support. The specific scope of services will be detailed in individual project agreements or statements of work.
3. Professional Conduct
We commit to providing our services with professional care and skill, maintaining confidentiality, and acting in the best interests of our clients. We expect clients to provide accurate information and cooperate reasonably in the delivery of services.
4. Intellectual Property
Unless otherwise agreed in writing:
- We retain ownership of our pre-existing intellectual property
- Clients retain ownership of their pre-existing intellectual property
- New intellectual property created during service delivery will be assigned as specified in project agreements
5. Payment Terms
Payment terms, including fees, expenses, and payment schedules, will be specified in project agreements. Unless otherwise stated:
- Invoices are payable within 14 days
- All amounts are in New Zealand Dollars (NZD)
- Prices exclude GST where applicable
6. Limitation of Liability
To the maximum extent permitted by law, we exclude all liability for any loss or damage arising from the use of our services. Where liability cannot be excluded, it is limited to the amount paid for the services in question.
7. Confidentiality
We will maintain the confidentiality of client information and expect clients to do the same with any confidential information we share. This obligation continues after the end of our engagement.
8. Termination
Either party may terminate services with written notice as specified in project agreements. Obligations regarding payment, confidentiality, and intellectual property survive termination.
9. Governing Law
These terms are governed by New Zealand law. Any disputes will be subject to the exclusive jurisdiction of New Zealand courts.
10. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
